Terms & conditions

These Terms are a legal agreement between you (you) and Global Construction Perspectives Limited (we or us or Global Construction Perspectives) to use the Documentation order by you.


1.INTERPRETATION

1.1 The following words and expressions shall, unless the context otherwise requires, have the meanings set opposite them below:

“Documentation”

means either the Report or the Forecast ordered by you whether digital or hardcopy format (whichever is relevant);

“Forecast”

a database which can be purchased only on a multi-user licence;

“Licence”

The licence granted to you under clause 3.1 of these Terms;

“Oxford Economics”

Means Oxford Economics Limited a company incorporated and registered in England and Wales with company number 01557776 and whose registered address is Abbey House, 121 St Aldates, Oxford OX1 1HB

“Price”

the price to be paid for the particular Documentation ordered as quoted on the Website;

“Report”

the summary of the Forecast which can be ordered separately from the Forecast and which can be purchased on either a single-user licence or a multi-user licence;

“Terms”

means the terms and conditions set out in this document;

“Website”

the website at www.globalconstruction2020.com;

2.INFORMATION ABOUT US

www.globalconstruction2020.com is a site operated by us. We are registered in England and Wales under company number 06775238 and with our registered office at The Merchant House, 9 Rockbourne Road, Sherfield-on-Loddon, Hampshire RG27 0SH. Our VAT number is GB 946 1902 13.

3. SCOPE OF TERMS

3.1 In consideration of you paying us the agreed Price and you agreeing to abide by these Terms, we grant you a non-exclusive, non-transferable licence to download and use the Documentation ordered by you in accordance with these Terms and the restrictions contained in them.

If you have ordered the Report on a single-user licence you may download and use the Report for your own use but you may not make available the Report to anyone else.

If you have ordered the Report on a multi-user licence you may download and use the Report for your own use and you may make available the Report to any employee or officer of the organisation for which you are purchasing the Documentation in accordance with these Terms. In the event that the organisation is part of a group of companies, you may only make available the Documentation for the organisation within the group of companies that you are purchasing the Documentation for.

The Forecast is licensed as a multi-user licence and you may make available the Forecast to any employee or officer of the organisation for which you are purchasing the Documentation in accordance with these Terms. In the event that the organisation is part of a group of companies, you may only make available the Documentation for the organisation within the group of companies that you are purchasing the Documentation for.

4.YOUR UNDERTAKINGS

Except as expressly set out in these Terms, you undertake:

Not to copy the Documentation ordered except where such copying is incidental to normal use of the Documentation;

Not to upload the Documentation onto any website or network; and

Not to rent, lease, sub-license, loan, translate, merge, adapt, vary or modify the Documentation.

5.RESTRICTIONS

The Licence is expressly made subject to and limited by the following restrictions:

You shall not be entitled to grant sub-licences of your rights under these Terms or assign or otherwise sub-contract or delegate any rights or obligations under these Terms to any person;

5.1.2 You may extract and use parts of the Documentation only with our express written consent, provided they do not amount to a substantial part and if you do so extract and use them (included in an edited form) then you will expressly attribute ownership of the extract from or edited version of Documentation in the following way:

“Source: Global Construction 2020”, Global Construction Perspectives and Oxford Economics, 2009, www.globalconstruction2020.com”

In such manner that a reader will be able clearly to see the attribution.

5.1.3 you shall not use the Documentation in any way that would suggest or imply the support, association or approval of us, except with our prior written approval;

5.1.4 you shall not use the Documentation for any illegal, derogatory or otherwise offensive purpose or in any way that might bring our reputation into disrepute.

6.DATA PROTECTION

When dealing with your data we will comply with the terms of the Data Protection Act 1998.

From time to time we will pass your data to third parties of our choice for processing in respect of the Licence unless you opt-out before purchasing the Documentation or otherwise notify us in writing.

7.Intellectual Property Rights

You acknowledge that all intellectual property rights in the Documentation anywhere in the world belong to Global Construction Perspectives and Oxford Economics, that rights in the Documentation are licensed (not sold) to you, and that you have no rights in, or to the Documentation other than the right to use them in accordance with these Terms.

8.Duration and termination

The Licence shall continue for the duration of the applicable copyright in respect of the Documentation unless terminated earlier for any reason by us.

We may immediately terminate the Licence if you commit any breach of these Terms.

Upon the termination of the Licence for whatever reason you shall immediately stop using the Documentation and destroy any copies of the Documentation in your possession.

9.AVAILABILITY AND DELIVERY

The Documentation ordered, either by using our online services or by telephone or mail will be available to download by you or delivered to you once we have received payment in full of the Price by you.

If there is a problem with payment of the Price we will notify you by email or any other method decided by us.

10.PRICE AND PAYMENT

The Price of the Documentation ordered will be as quoted on our Website from time to time, except in cases of obvious error.

If applicable, these prices are exclusive of VAT which will be added to the Prices after you have placed your order.

Payment for the Documentation must be by any method agreed by us prior to your order.

Once the Price has been received in full by you, no refunds will be granted, although refunds may occasionally be offered at the discretion of the management

11.WARRANTIES AND LIABILITY

You warrant to us that:

you have the authority to enter into these Terms; and

you are buying the Documentation in the course of your business or for on or behalf of an academic institution and not for your own personal, non-commercial use.

Whilst creating the Documentation we have used reasonable care and skill expected in an industry of this type however, the Documentation is provided on an “as is” basis, without warranties of any kind, either express or implied including, without limitation, any warranties regarding the contents or accuracy of the Documentation and we do not give any warranty, representation or undertaking that the use of the Documentation will not infringe the rights of any other person.

We will not be liable for any inaccurate or incomplete information provided in the Documentation whether to you or to any third party to whom you pass on such Documentation.

Nothing in the Documentation provided shall be considered investment and/or financial advice by us to you.

11.5           Nothing in these Terms shall operate to exclude or limit either Party’s liability for death or personal injury caused by its negligence, fraud or any other liability which cannot be excluded or limited under applicable law.

11.6           We shall not be liable to you for any loss of profit, anticipated profits, revenues, anticipated savings, goodwill or business opportunity, or for any indirect or consequential loss or damage.

11.7           Subject to clause 11.5, our aggregate liability arising out of or in connection with these Terms or any collateral contract, whether in contract or tort (including negligence) or otherwise, shall in no circumstances exceed the price paid for the Documentation by you.

12.              WRITTEN COMMUNICATIONS

12.1           Applicable laws require that some of the information or communications we send to you should be in writing. When using our site, you accept that communication with us will be mainly electronic. We will contact you by e-mail or provide you with information by posting notices on our website. For contractual purposes, you agree to this electronic means of communication and you acknowledge that all contracts, notices, information and other communications that we provide to you electronically comply with any legal requirement that such communications be in writing. This condition does not affect your statutory rights.

13.              NOTICES

13.1           All notices given by you to us must be given to Graham Robinson at info@globalconstruction2020.com or The Merchant House, 9 Rockbourne Road, Sherfield-on-Loddon, Hampshire RG27 0SH. Notice will be deemed received and properly served immediately when posted on our website, 24 hours after an e-mail is sent, or three days after the date of posting of any letter. In proving the service of any notice, it will be sufficient to prove, in the case of a letter, that such letter was properly addressed, stamped and placed in the post and, in the case of an e-mail, that such e-mail was sent to the specified e-mail address of the addressee.

14.              TRANSFER OF RIGHTS AND OBLIGATIONS

14.1           These Terms are binding on you and us and on our respective successors and assigns.

14.2           We may transfer, assign, charge, sub-contract or otherwise dispose of these Terms, or any of our rights or obligations arising under it, at any time during the term of the Licence.

15.              WAIVER

15.1           To the extent that any provision of these Terms is found by any court or competent authority to be invalid, unlawful or unenforceable in any jurisdiction, that provision shall be deemed not to be a part of these Terms, it shall not affect the enforceability of the remainder of these Terms nor shall it affect the validity, lawfulness or enforceability of that provision in any other jurisdiction.

16.              ENTIRE AGREEMENT

16.1           These Terms contain the entire agreement between the parties with respect to its subject matter and may not be modified except by written agreement signed by the duly authorised representatives of the parties.

17.              OUR RIGHT TO VARY THESE TERMS AND CONDITIONS

17.1           We have the right to revise and amend these Terms from time to time.

18.              LAW AND JURISDICTION

18.1           These Terms will be governed and construed in accordance with English law. Any dispute or claim arising out of or in connection with these Terms (including non-contractual disputes or claims) shall be subject to the non-exclusive jurisdiction of the courts of England and Wales.
